Terms and Conditions of Use

1. Acceptance of Terms

By accessing and using the services of Platinum Software ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Platinum Software provides the following services:

  • Software development and programming
  • Website design and development
  • Mobile application development
  • AI and machine learning solutions
  • Robotics and automation services
  • IT consulting and support
  • Digital transformation services

3. Project Terms

3.1 Project Initiation
  • Projects commence upon receipt of advance payment
  • Project timeline is based on agreed scope and requirements
  • Changes to project scope may affect timeline and cost
  • Client approval required for major milestone deliverables
3.2 Deliverables
  • Source code and documentation as specified
  • Installation and deployment instructions
  • User manuals and training materials
  • Post-deployment support for agreed period

4. Payment Terms

4.1 Payment Schedule
  • 50% advance payment required to start project
  • 25% payment upon completion of major milestones
  • 25% payment upon project completion and delivery
  • All payments due within 15 days of invoice
4.2 Late Payments
  • 1.5% monthly interest on overdue amounts
  • Project suspension after 30 days of non-payment
  • Legal action may be taken for amounts over 60 days

5. Intellectual Property Rights

5.1 Client Ownership

Upon full payment, client owns:

  • Custom developed software and applications
  • Design files and creative assets
  • Documentation and user manuals
  • Source code (unless otherwise specified)
5.2 Company Rights

We retain rights to:

  • Reusable code libraries and frameworks
  • Proprietary tools and methodologies
  • Portfolio use of completed projects
  • Third-party software licenses

6. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business information and trade secrets
  • Project specifications and requirements
  • Technical implementations and solutions
  • Client data and proprietary information

Confidentiality obligations survive project completion for 5 years.

7. Warranties and Limitations

7.1 Service Warranty
  • 90-day warranty on delivered software
  • Free bug fixes for critical issues
  • Performance optimization within scope
  • Compatibility with specified environments
7.2 Limitations
  • No warranty for third-party components
  • Not responsible for data loss or corruption
  • Limited liability to project value
  • No guarantee of specific business outcomes

8. Support and Maintenance

8.1 Post-Launch Support
  • 30 days free support after delivery
  • Extended support available at additional cost
  • Emergency support during business hours
  • Response time based on support level
8.2 Maintenance Services
  • Regular updates and security patches
  • Performance monitoring and optimization
  • Backup and disaster recovery
  • Technical consultation and training

9. Termination

9.1 Termination by Client
  • Written notice required 30 days in advance
  • Payment for completed work and materials
  • Transfer of completed deliverables
  • Return of client materials and data
9.2 Termination by Company
  • Non-payment or breach of agreement
  • Failure to provide required materials
  • Unreasonable demands or scope changes
  • Force majeure events

10. Force Majeure

Neither party shall be liable for delays or failures due to:

  • Natural disasters or acts of God
  • Government actions or regulations
  • War, terrorism, or civil unrest
  • Internet or utility service failures
  • Pandemics or health emergencies

11. Dispute Resolution

  1. Direct Negotiation: Parties will attempt to resolve disputes amicably
  2. Mediation: If negotiation fails, mediation will be attempted
  3. Arbitration: Binding arbitration in Motihari, Bihar, India
  4. Legal Action: As last resort in appropriate courts

12. Governing Law

This agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Motihari, Bihar, India.

13. Amendments

These terms may be amended from time to time. Changes will be effective upon posting on our website. Continued use of services constitutes acceptance of modified terms.
